1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Composa LTD ("Composa", "we", "our", or "us") governing your access to and use of the Composa email template builder service (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Beta Service

Composa is currently in beta. This means:

• The Service may contain bugs, errors, or other issues.
• Features may be added, modified, or removed without prior notice.
• The Service may experience downtime or interruptions.
• We may reset or delete data during the beta period.

By using the beta Service, you acknowledge and accept these conditions. We appreciate your feedback in helping us improve the Service.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Maintain and update your account information.
• Keep your password confidential and secure.

4. Workspaces and Teams

Composa allows you to create workspaces and invite team members. Workspace owners are responsible for:

• Managing team member access and permissions.
• Ensuring team members comply with these Terms.
• Content created within the workspace by team members.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Send spam, phishing emails, or other unsolicited communications.
• Create or distribute malicious content, malware, or harmful code.
• Infringe on intellectual property rights of others.
• Harass, abuse, or harm other users or individuals.
• Attempt to gain unauthorised access to the Service or other systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service for any illegal or fraudulent purposes.

We reserve the right to suspend or terminate your account if you violate these Terms.

6. Your Content

You retain ownership of all content you create or upload to the Service ("Your Content"), including email templates, components, and images.

By using the Service, you grant us a limited licence to store, display, and process Your Content solely as necessary to provide the Service to you. We will not use Your Content for any other purpose without your consent.

You are responsible for ensuring you have the necessary rights to use any content you upload, including images, logos, and text.

7. Third-Party Integrations

The Service may integrate with third-party services (e.g., Figma, Braze, and other email service providers). Your use of these integrations is subject to:

• The terms and conditions of those third-party services.
• Your own agreements with those providers.

We are not responsible for the availability, accuracy, or content of third-party services, nor for any loss or damage arising from your use of them.

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Composa LTD and is protected by intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service.
• Use our trademarks, logos, or branding without permission.
• Create derivative works based on the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPOSA LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Composa LTD and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
